Company: Akquire Limited (hereinafter “the Company,” “we,” “us,” or “our”), operator of itstwelve.com (the “Website” or “Site”)

1. Acceptance of Terms

By accessing or using itstwelve.com (the “Site”), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site.

2. Eligibility

Our Site is intended for users who are at least 18 years of age. By using the Site or subscribing to our newsletter, you represent that you are at least 18 years old. The Site is not directed at, and we do not knowingly collect personal data from, individuals under 18.

3. Scope of Service

The Site is an informational directory service providing information on restaurant lunch deals in Hong Kong. We provide this information for reference only. We do not process restaurant bookings, host user-generated reviews, or manage food service operations. We are not responsible for the availability, pricing, or quality of the deals advertised by third-party restaurants.

4. Directory Content & Data Sources

Listings on the Site are compiled through the Company’s own manual research and from publicly available information, including other restaurant directory and booking platforms (for example, Dining City). All listings, menus, operating hours, pricing, and promotional details are provided on an “as-is” basis, and we do not guarantee their accuracy, completeness, or currency. Further detail on the limits of this information, including health and allergen matters, is set out in our separate Disclaimer, which is incorporated into and forms part of these Terms.

Where a listing includes a link or button (such as “Book Now”) that redirects you to a restaurant’s own website or to a third-party booking platform, this redirect is provided as a convenience only. It does not imply any partnership, endorsement, or affiliation between the Company and that third party unless expressly stated. We encourage users to verify booking details directly with the third-party platform or restaurant before relying on them.

5. User Conduct

When using the Site, you agree not to:

  • Scrape, crawl, or extract data: use automated tools, bots, or scripts to collect our directory listings or other Site data without our prior written permission;
  • Disrupt the Site: introduce viruses, overload our servers, or attempt to bypass security measures;
  • Use the Site unlawfully: violate any applicable Hong Kong law or regulation; or
  • Misrepresent information: submit false or misleading details in any communication with us.

6. Intellectual Property

All original content, directory structures, and design assets on the Site are the intellectual property of the Company. Third-party restaurant logos, menus, brand names, and any third-party platform trademarks referenced on the Site remain the exclusive property of their respective owners. You may not reproduce, distribute, modify, copy, publish, or commercially exploit any content from the Site without the Company’s explicit permission.

7. Affiliate Links and Third-Party Content

The Site contains affiliate links and advertisements, including links to Google Ads and affiliate partner platforms. If you click on an affiliate link and complete a purchase or booking, we may receive a commission at no extra cost to you. Full detail is set out in our separate Affiliate Disclosure. Third-party ads and linked platforms are governed by their own respective privacy policies and terms, which we do not control.

8. Disclaimer of Warranties

Your use of the Site is at your sole risk. The Site is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Site will be uninterrupted, timely, secure, or error-free. 9. Limitation of Liability

To the maximum extent permitted by Hong Kong law:

  • Direct damages: our aggregate liability for any direct damages arising from your use of the Site is limited to a nominal amount of HKD 100.
  • Indirect damages: we exclude all liability for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, reputation, data, or business interruption.
  • Force majeure: we are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet or hosting outages, or cyberattacks.

This limitation of liability applies even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, your violation of any third-party rights, or your misuse of the Site.

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the HKSAR.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. The “Effective Date” at the top of these Terms indicates when the most recent changes were made. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under Hong Kong law, the remaining provisions shall continue in full force and effect.
